Terms of use

Effective Date: 15th August 2025

Please read these Terms and Conditions (“Terms”) carefully. By accessing or using any part of the Services (defined below), you agree to be bound by these Terms. These Terms constitute a legally binding agreement between you (“you” or “your”) and TRADIE PAL ABN 97584662106 (“we,” “us,” or “our”). If you do not agree to be bound by these Terms, you must not access or use the Services.

These Terms incorporate any policies or operating rules posted by us on or in respect of the Services—particularly our Privacy Policy—and apply to your use of the Services made available by TRADIE PAL.

1. OUR SERVICES
1.1 Jurisdictional Use.
1.1.1 Our AI assistant services, websites, and other related offerings (collectively, the “Services”) are provided primarily for customers in Australia and United States of America. If you choose to access or use the Services from outside these regions, you do so at your own initiative and are fully responsible for compliance with the laws of the place where you access them.
1.1.2 The Services and any information provided therein are not intended to be distributed or used by any person or entity in any jurisdiction where such distribution or use would violate law or regulation or require registration within that jurisdiction.

1.2 Non-Compliance with Industry-Specific Laws.
1.2.1 The Services are not designed to comply with industry-specific regulations (e.g., PCI DSS, HIPAA, FISMA, GLBA in the United States). If your interactions would be subject to such regulations, or if your local laws prohibit certain uses of AI software, you are prohibited from using the Services.

 

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Licence to You.
2.1.1 Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for personal and/or internal business purposes, including downloading any portion of the Content to which you have been properly granted access.
2.1.2 No part of the Services or Content may be copied, republished, uploaded, transmitted, or otherwise exploited for any other commercial purpose without our express written permission.

2.2 Breach and Termination.
2.2.1 If you breach this Intellectual Property Rights clause or otherwise infringe our intellectual property, your right to use the Services is immediately terminated, and we reserve all legal rights and remedies under Australian law.

 

3. CONTRIBUTIONS

3.1 Posting content online
3.1.1 The Services may allow you to post, submit, display, or otherwise make available text, audio, video, graphics, reviews, and other content (“Contributions”).
3.1.2 By posting Contributions, you grant us an irrevocable, perpetual, non-exclusive, royalty-free, worldwide licence to use, reproduce, distribute, modify, display, create derivative works from, and otherwise exploit such Contributions in any media, including using your name or logo if included in your Contributions.

3.2 Your Warranties.
3.2.1 You are solely responsible for your Contributions. You warrant that (a) you have all rights, licences, and consents required to post the Contributions; and (b) your Contributions do not violate any applicable laws or infringe upon any third-party rights.

3.3 Removal or Editing.
3.3.1 Although we are not obligated to monitor your Contributions, we reserve the right to remove, edit, or refuse to post any Contributions that we, in our sole discretion, deem to be in breach of these Terms or otherwise harmful.

 

4. USER REPRESENTATIONS

4.1 Registration information

4.1.1 By using the Services, you represent and warrant that:
(a) any registration information your submission is accurate and up to date;
(b) you have the legal capacity to enter into and comply with these Terms;
(c) you are not under 13 years of age and, if you are under the age of majority in your jurisdiction, you have parental permission;
(d) you will not use the Services for any prohibited or illegal purpose;
(e) you will comply with all applicable laws and regulations in connection with your use of the Services.

 

5. USER REGISTRATION

5.1 Password and Account Security.
5.1.1 You may be required to register to use certain features of the Services. You agree to keep your account login and password confidential and are responsible for all activities under your account.

5.2 Suspension or Termination.
5.2.1 We may, in our sole discretion, suspend or terminate your account if we believe you have breached these Terms or otherwise engaged in unlawful conduct.

 

6. PRICING 

6.1 Pricing and Taxes.
6.1.1 Any prices we quote are subject to change without notice. Prices may include applicable GST or other taxes as required by Australian law.

6.2 Orders and Refusals.
6.2.1 We reserve the right to refuse or cancel any order at our discretion (e.g., due to unavailability or suspected fraud).

6.3 Cancellation and Refunds.
6.3.1 Except as required under the Australian Consumer Law, all purchases are non-refundable. You may cancel at any time by contacting us at info@tradiepal.ai; cancellation is effective at the end of your current billing cycle.

6.4 Fee Changes.
6.4.1 We may change subscription fees from time to time and will notify you in accordance with applicable legal requirements prior to implementing any price change.

 

7. PROHIBITED ACTIVITIES

7.1 You may not engage in the following activities:
(a) Using the Services for unlawful purposes or in violation of any Australian or international law or regulation;
(b) Harvesting or data-mining the Services’ content without our written permission;
(c) Uploading harmful code, viruses, or content that disrupts the Services’ functionality;
(d) Impersonating another person or misrepresenting your identity;
(e) Harassing or harming others, including our employees, agents, or other users;
(f) Circumventing security features or infringing our intellectual property rights or those of others;
(g) Engaging in any other activities deemed by us to be inappropriate, abusive, or in breach of these Terms.

 

8. USER-GENERATED CONTRIBUTIONS

8.1 Responsibility.
8.1.1 You are solely responsible for the content of any Contributions. Contributions may be publicly visible and shared externally.

8.2 Ownership and Licence.
8.2.1 You retain ownership of Contributions, but you grant us an irrevocable, perpetual licence to use, reproduce, distribute, adapt, and display them.

8.3 Compliance.
8.3.1 You represent and warrant that your Contributions comply with all relevant Australian laws, including but not limited to defamation, copyright, and privacy laws.

8.4 Call recordings.

8.4.1 All inbound voice calls are recorded and stored for 7 days. It is your responsibility to convey this message to your end customers by setting the welcome greeting with the appropriate language as per the local laws in your jurisdiction. We do not take any responsibilty with respect to storing call recording for a fixed time duration on your behalf.

9. REVIEWS

9.1 Acceptance or Removal.
9.1.1 We reserve the right to accept or remove reviews at our sole discretion. Reviews do not necessarily reflect our views or reviews of our affiliates.

 

10. THIRD-PARTY SERVICES

10.1 Use of Third-Party Vendors.

10.1.1 We rely on third-party service providers (including but not limited to OpenAI and ElevenLabs) for certain functionalities of the Services. You acknowledge that the performance, availability, and results provided by these third-party services are outside our control.

10.2 No Liability for Third-Party Downtime or Errors.

10.2.1 We are not responsible for any interruption, fault, or delay caused by these third-party services. This includes, but is not limited to, downtime, service unavailability, or incorrect or incomplete results generated by such third-party services.

10.3 Third-Party Terms.

10.3.1 Your use of features or functionality that rely on these third-party services may be subject to additional terms and conditions imposed by the respective third-party providers. You agree to abide by such terms in addition to these Terms.

11. THIRD-PARTY PLATFORMS

11.1 Relationship.

11.1.1 Your relationship with third-party platforms (e.g., social media sites) is governed solely by agreements with those platforms; we are not responsible for third-party content or services.

12. SERVICES MANAGEMENT

12.1 Our Rights.
12.1.1 We reserve the right to:
(a) Monitor the Services for compliance with these Terms;
(b) Remove or restrict access to any content at our discretion;
(c) Take legal action against users who violate these Terms or applicable law.

13. PRIVACY POLICY

13.1 Data Collection and Use.
13.1.1 We respect your privacy. Please review our Privacy Policy at https://tradiepal.ai/privacy-policy.
13.1.2 By using the Services, you consent to data handling in accordance with the Australian Privacy Act 1988 (Cth) and any relevant Victorian privacy legislation.
13.1.3 The Services may be hosted in and outside of Australia. By using the Services, you consent to any international transfers of your personal information, subject to compliance with the Privacy Act 1988 (Cth).

14. COPYRIGHT INFRINGEMENT

14.1 Notices.
14.1.1 We respect intellectual property rights. If you believe material available through the Services infringes your copyright, please contact us as info@tradiepal.ai with sufficient detail about the alleged infringement.

14.2 Australian Copyright Act Compliance.
14.2.1 We will respond expeditiously to clear and valid notices in accordance with the Copyright Act 1968 (Cth).

15. TERMINATION

15.1 Termination by Us.
15.1.1 We may terminate or suspend your access to the Services at any time without notice if, in our sole opinion, you breach these Terms or applicable law.

15.2 Effect of Termination.
15.2.1 Upon termination, your right to use the Services ceases immediately, and we may delete or deactivate your account without liability.

 

16. INTERRUPTIONS

16.1 Interruptions.
16.1.1 We do not guarantee the Services will always be available and uninterrupted. You agree we are not liable for any downtime or service interruptions.

 

17. CONSUMER LAW

17.1 Australian Consumer Law.
17.1.1 Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or similar Victorian legislation, which cannot be excluded, restricted, or modified.

18. DISPUTE RESOLUTION

18.1 Jurisdiction.
18.1.1 Any dispute arising from or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Victoria, Australia.

 

19. CORRECTIONS

19.1 Errors and Omissions.
19.1.1 We reserve the right to correct any typographical errors, inaccuracies, or omissions, and to change or update information on the Services at any time without prior notice.

20. DISCLAIMER

20.1 “As Is” Basis.
20.1.1 Except for any guarantees that cannot be excluded under the Australian Consumer Law, the Services are provided on an “as-is” basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

20.2 Limitation of Warranties.
20.2.1 While we endeavour to maintain accurate information, we do not guarantee completeness or accuracy of the Services’ content. We are not liable for any loss or damage arising out of your reliance on the content.

21. LIMITATIONS OF LIABILITY

21.1 Limitation.
21.1.1 Subject to your rights under the Australian Consumer Law, to the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services, including but not limited to loss of revenue or data.
21.1.2 Where liability cannot be excluded but can be limited under Australian law, our liability is limited, at our option, to the re-supply of the relevant Services or payment of the cost of re-supplying the relevant Services.

22. INDEMNIFICATION

22.1 Indemnity.
22.1.1 You agree to indemnify and hold us (and our officers, partners, employees, and agents) harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of your use of the Services, your Contributions, or any breach by you of these Terms or your violation of any third-party rights.

 

23. USER DATA

23.1 Data Storage.
23.1.1 We store certain data you transmit through the Services. We do not guarantee the security or availability of your data. You are responsible for maintaining backup copies of your data.

24. ELECTRONIC COMMUNICATIONS

24.1 Electronic Signatures.
24.1.1 You consent to the use of electronic signatures, contracts, and records, and you agree to receive notices electronically. This agreement meets any “in writing” requirement under applicable Australian law.

 

25. SMS TEXT MESSAGING

25.1 Message Frequency.
25.1.1 If you opt in to receive SMS notifications, you may receive text messages related to your transactions or account activity. Message frequency varies based on your actions on the website.

 

26. GENERAL PROVISIONS

26.1 No Waiver.
26.1.1 Our failure to enforce any part of these Terms is not a waiver of our right to do so later.

26.2 Severability.
26.2.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

26.3 No Agency.
26.3.1 No partnership, joint venture, employment, or agency relationship is created between you and us by these Terms or your use of the Services.

26.4 Drafting and Interpretation.
26.4.1 These Terms will not be construed against the drafter. Headings are for convenience only and do not affect interpretation.
